1. Engagement Models
By accessing our website or retaining LayerZero AI for software engineering, artificial intelligence automation, or systems modernization, you agree to comply with and be bound by these Terms of Service. Detailed deliverables, acceptance milestones, and payment schedules are governed by individual Statements of Work (SOWs).
2. Intellectual Property (IP) Ownership
Upon final settlement of invoices pursuant to an executed SOW, all custom source code, documentation, architectural diagrams, and bespoke models developed exclusively for the client become the sole intellectual property of the client, including full commercial rights.
3. Engineering Warranties & Uptime SLA
LayerZero AI warrants that all deliverable software is engineered in accordance with rigorous industry standards (type safety, automated CI/CD testing, containerization). We offer 30-day post-deployment bug stabilization warranties on bespoke software projects.
4. Limitation of Liability
In no event shall LayerZero AI be liable for any indirect, incidental, or consequential damages resulting from third-party cloud infrastructure downtime (e.g. AWS, GCP, Vercel outage) beyond our reasonable technical control.
5. Governing Law
These Terms and any individual Statements of Work shall be governed by and construed in accordance with standard international commercial arbitration principles.
